出口合同簽訂篇一

代理方：（以下簡稱乙方）

依照國家有關法律法規(guī),，簽約雙方就委托代理出口業(yè)務有關事項協(xié)商一致，訂立本合同：

一. 委托代理出口商品名稱：

出口口岸：深圳;總金額：萬美元,，在20xx 年年底前履行完畢,。

具體型號、規(guī)格,、數(shù)量,、金額在每批出口前另行確認。

二. 雙方權利義務：

(一). 代理方：

1. 代理委托方辦理有關貨物出口報關,、報檢,、托運手續(xù)及結匯、退稅事宜,但因出口合同及其附件的瑕疵所產生的一切責任由委托方自行承擔,。

2. 因委托方原因致使出口合同不能履行,、不能完全履行或遲延履行的，代理方有權解除本代理合同,，委托方應承擔由此產生的一切費用和后果,。

(二). 委托方：

1. 應提供以下有效證件復印件：

① 企業(yè)法人營業(yè)執(zhí)照(含非法人營業(yè)執(zhí)照);

② 組織機構代碼證;

③ 稅務登記證(國稅);

④ 增值稅一般納稅人資格證書或申請認定表(正在申請一般納稅人的企業(yè));

⑤ 如是外商投資企業(yè)或中外合資企業(yè)，還需要提供：港澳臺僑企業(yè)批準證書,。

2. 保證所委托出口的貨物符合出,、進口國的國家政策法律規(guī)定，并保證委托出口的貨物不侵犯他人知識產權,。

3. 負責組織出口貨源,，并根據(jù)出口合同的規(guī)定按時將委托出口貨物運至出運口岸及承擔運費，并保證所委托的實際貨物與報關品名,、規(guī)格,、數(shù)量,、質量,、包裝等相符,。若委托方違反本條規(guī)定，則應承擔由此產生的對外及對代理方的賠償責任,。

4. 協(xié)助代理方辦理報關,、報檢、制單,、結匯等具體業(yè)務,，保證從代理方處取得的所有單證的安全，不得挪作它用,。

5. 代理方原則上不接受拼柜貨物。若確有必要,，委托方應于貨物報關出口前一周書面通知代理方,，由代理方?jīng)Q定是否接受。

6. 委托方應如實申報,，不得虛報數(shù)量,，高報價值。

7. 如委托方指定貨代以及需異地報關出口的貨物,，委托方應通知代理方其貨代名稱,、地址,、聯(lián)系人、電話,、傳真等詳細資料,，并允許代理方與貨代直接聯(lián)系，在貨物正式報關出口前,，由貨代將裝箱單,、發(fā)票傳真給代理方確認。

8. 保證增值稅發(fā)票和專用繳款書真實,、有效,、合法。

9. 未經(jīng)代理方同意,，委托方不得擅自更改確認后的合同條款,，不得對外商作出合同之外的承諾。

10.承擔因委托方原因致使本合同及與外商簽訂之合同不能履行的一切責任,。

11.對外商資信負責,，承擔因外商原因致使與外商簽訂之合同不能履行或與外商簽訂之合同已部份履行但無法收匯核銷的責任。前述外商違約導致本合同不能履行或不能完全履行,，不影響本協(xié)議項下代理方收取代理費的權利,。

12.保證在報關日后30日內將報關單、核銷單等退稅單據(jù)交還代理方,，并保證報關單,、核銷單的所有內容與相應的增值稅發(fā)票和專用繳款書內容一致。

13.因委托方的原因,，導致增值稅發(fā)票和專用繳款書未能退稅時,，代理方有權向委托方追索該部份退稅款。委托方應在收到代理方書面通知后3個工作日內將該部份退稅款,，付到代理方指定的銀行帳戶上,。

三. 費用與代理手續(xù)費結算：

1. 代理出口過程中所發(fā)生的一切費用,除退稅外均由委托方承擔，如因需要由代理方代為繳納的,，委托方應在每筆費用實際發(fā)生前轉入代理方帳戶,，代理方也可直接在貨款中扣除。本合同項下的出口費用包括：保險費,、港口碼頭費,、裝運港市內短途運雜費、倉儲費,、出口檢驗費,、檢疫費、報關費,、國內銀行費用等,。

2.a.代理方負責接收國外客戶t/t貨款,，該貨款應于60天內匯到代理方指定的銀行帳戶)。在代理方收到委托方國外貨款,，先按1美元：8.26人民幣元將貨款匯入同增值稅發(fā)票上相符的銀行帳戶,，在核銷單、報關單退回后,，并收到委托方提供的增值稅專用發(fā)票,、稅收繳款書后 3個工作日內將外匯貨款按1美元：9.14人民幣元的比率，扣除已按1美元：8.26人民幣元支付的貨款,，將剩余貨款按委托方的通知匯入同增值稅發(fā)票上相符的銀行帳戶,，其余部分(包括不低于 13%的退稅款額)作為代理方的代理費用。

3.如出口合同外商付款期至時,，代理方未實際全部收匯,，代理方對委托方就該筆貨款保留追索權。如代理方在委托方開具增值稅發(fā)票和繳款書二個月后在國稅局依然查無增值稅發(fā)票和繳款書的相關信息,，委托方有責任協(xié)助代理方向當?shù)貒惥植樵儭?/p>

四. 違約責任:

1. 在本合同項下,，如一方違約，除依法依約應承擔違約責任及賠償責任及賠償守約方的實際損失外,，還應承擔守約方為實現(xiàn)債權而支付的費用,，該費用包括但不限于律師費用、訴訟費用,、差旅費,、通訊費。

2. 自違約方違反本合同約定及法定義務之日起,其于后支付的任何款項按以下順序清償：(1)守約方為實現(xiàn)權利支付的費用;(2)利息或違約金,、損失賠償金;(3)貨款本金,。

五.爭議解決方式：

2.5 根據(jù)外銷合同收到外商的付款后,在七個工作日內按照付款當日銀行公布的外匯買入價,將外匯折算成人民幣支付給委托人

3.外銷合同

(1)接受代理人現(xiàn)采用的商品外銷標準正本合同的固定條款。承認代理人代表委托人承擔這些合同條款對

(2)收到代理人交來的外銷合同副本后,，立即進行核對,。

4.出口貨物

(1)委托人提供的貨物應符合本協(xié)議規(guī)定的數(shù)量、質量,、和規(guī)格,，并

(2)提供貨物的品質證明文件。

5.費用

(1)委托人承擔代理人因代理出口產生的運輸費,、商檢費,、港口運雜費、倉儲費,、報關費,、保險費及銀行手續(xù)費等有關費用。

(2)根據(jù)實際出口貨物的數(shù)量計算總貨款,，并根據(jù)此總貨款向代理人支付___%的代理費。

6.違約責任:
